Zooqly acts as the direct seller, and the contract for the sale of Products is formed directly between You and Zooqly.
1.2 You understand and agree that the Services provided by Zooqly may be subject to limitations such as inventory availability, geographical restrictions, and payment method availability. We reserve the right to modify, suspend, or discontinue all or part of the Services at any time without prior notice.
2. Account Registration and Security
2.1 Certain Services may require you to register an account. You must provide true, accurate, complete, and current registration information.
2.2 You are responsible for maintaining the confidentiality of your account information (including your password) and for all activities that occur under your account. You accept full responsibility for such activities.

3. Product Information and Purchases
3.1 Product Descriptions: Zooqly strives to ensure that product information displayed on the Website (including images, descriptions, specifications, prices, etc.) is as accurate as possible. However, due to variations in digital displays, production batches, translation errors, or unavoidable information lags, we cannot guarantee the absolute accuracy, completeness, reliability, or timeliness of this information. Product images are for illustrative purposes only, and the actual product received may have reasonable variations. If a Product received significantly differs from its Website description, please refer to our Return & Refund Policy.
3.2 Prices and Taxes:
- Prices displayed typically include cost, profit, and our operational expenses, but do not include international shipping fees, insurance, customs duties, import taxes, Value Added Tax (VAT), Goods and Services Tax (GST), or any other taxes or fees levied by the customs or tax authorities of the destination country (collectively, “Cross-Border Taxes and Duties“).
- You, as the purchaser, fully understand and agree that you are solely responsible for paying all Cross-Border Taxes and Duties. These may be estimated and collected at the time of payment or may be levied directly upon the Product’s arrival in your country by the logistics provider or customs authorities. Zooqly bears no responsibility for the final amount or calculation of Cross-Border Taxes and Duties.
- Prices are subject to change without notice. The price displayed at the time of adding an item to your cart is not guaranteed until you successfully complete the checkout process and payment is confirmed. We reserve the right to cancel orders due to pricing errors.
3.3 Orders and Contract Formation:
- Placing items in your shopping cart and initiating the checkout process constitutes an offer to purchase.
- A legally binding contract for the sale of the Products listed in your order is formed between You and Zooqly only when: (a) your payment is successfully processed and confirmed as received by our payment gateway; and (b) we send you an Order Confirmation email.
- Zooqly reserves the right to refuse or cancel any order after confirmation but before shipment for reasons including, but not limited to, product unavailability, pricing errors, suspected fraudulent activity, payment issues, violation of these Terms, or any other reasonable cause. If an order is canceled, we will notify you promptly and process any applicable refund.
3.4 Inventory: All Products are offered subject to availability. Items out of stock will be clearly marked or indicated during checkout. If an item becomes unavailable after order confirmation, we will notify you and cancel the unavailable item or the entire order, issuing a refund where applicable.
4. Payment
4.1 You agree to pay for all orders using the designated secure third-party payment gateway(s) (e.g., PayPal, credit card processors) integrated into our Website.
4.2 You represent and warrant that you have the legal right to use the payment method(s) you provide (e.g., credit card, debit card, PayPal account).
4.3 Security of your payment information is the responsibility of our partnered payment gateway(s). However, you are responsible for ensuring the accuracy of your payment details. Zooqly does not store your complete credit card information.
4.4 All payments must be made in the currency displayed at the time of order confirmation.
5. Shipping, Delivery & Customs
5.1 International Shipping: Zooqly utilizes third-party international logistics providers for Product delivery.
5.2 Shipping Fees: Shipping fees will be calculated and displayed during checkout based on your selected shipping method and destination country/region. Fees may include base freight, fuel surcharges, handling fees, etc. You must pay the shipping fees along with your order payment.
5.3 Delivery Times: Estimated delivery times shown on the Website are for reference only. International shipping times are subject to numerous uncontrollable factors (including, but not limited to, customs clearance speed, holidays, weather, logistics provider efficiency, destination country policies), and actual delivery times may significantly exceed estimates. Zooqly cannot guarantee exact delivery dates and bears no responsibility for losses arising from shipping delays.
5.4 Delivery & Risk Transfer:
- Delivery is considered complete when the Product is delivered to your specified shipping address or is signed for by you (or your designated recipient).
- Risk of loss or damage to the Products during transit passes to You upon the Products leaving the Zooqly warehouse (or supplier warehouse).
- You are responsible for providing an accurate and complete shipping address and contact information. Zooqly bears no responsibility for losses arising from failed, returned, or lost deliveries due to incorrect/incomplete addresses or inability to contact the recipient.
5.5 Customs Clearance: You acknowledge that international shipments are subject to customs inspection in the destination country. You are responsible for cooperating by providing any documents or information required by customs authorities (if requested) and for paying all applicable duties and taxes (see 3.2). Zooqly is not liable for losses or delays caused by customs detention, return of goods, or similar events.
6. Returns, Refunds & Exchanges
6.1 Zooqly maintains a detailed Return and Refund Policy, which forms an integral part of these Terms. You must carefully review this policy before placing an order.
6.2 Due to the complexities and costs of international returns, our policy will clearly specify:
- Conditions for accepting returns/exchanges (e.g., product defects, significant mismatch with description, wrong/missing items).
- Non-returnable situations (e.g., change of mind, wrong size chosen [unless due to incorrect sizing information on the Website], minor non-defective imperfections, unsealed specific goods).

ZOOQLY AND ITS SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR PERFORMANCE.
9.2 Use at Your Own Risk: YOUR USE OF THE WEBSITE, SERVICES, AND CONTENT IS ENTIRELY AT YOUR OWN RISK.

9.4 International Transactions & Uncontrollable Factors: YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT THE ZOOQLY PARTIES SHALL NOT BE LIABLE FOR:
- LOSSES ARISING FROM INTERNATIONAL SHIPPING DELAYS, LOSS, DAMAGE, OR CUSTOMS ISSUES.
- PAYMENT ISSUES CAUSED BY PAYMENT GATEWAY FAILURES, BANKING SYSTEM PROBLEMS, OR INACCURATE PAYMENT INFORMATION.
- TRANSACTION FAILURE OR LOSS RESULTING FROM CHANGES IN YOUR COUNTRY’S LAWS/REGULATIONS, TRADE RESTRICTIONS, FOREIGN EXCHANGE CONTROLS, ETC.
- SERVICE INTERRUPTIONS OR ORDER FULFILLMENT FAILURES DUE TO FORCE MAJEURE EVENTS (E.G., NATURAL DISASTERS, WAR, RIOTS, GOVERNMENT ACTIONS, PANDEMICS, STRIKES, CYBER-ATTACKS, INFRASTRUCTURE FAILURES).
9.5 Liability Cap: IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE ZOOQLY PARTIES FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO ZOOQLY FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM (EXCLUDING SHIPPING FEES AND TAXES).
10. Indemnification
You agree to indemnify, defend, and hold harmless the Zooqly Parties from and against any and all claims, demands, losses, liabilities, damages, judgments, awards, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
10.1 Your breach of these Terms;
10.2 Your use of the Website or Services;
10.3 Your infringement of any third-party right (including intellectual property rights);
10.4 Any content you submit; or
10.5 Your actions or omissions related to any Products purchased through the Website.
